Abstract: Diese Dissertation ist eine wissenschaftliche Auseinandersetzung mit den Krisenplanungungsvorgaben an international tätige Finanzinstitute mit einem besonderen Augenmerk auf deren eigenverantwortliche Krisenplanung, insbesondere durch Reorganisations- und Restrukturierungspläne. Über die Vorgabe des deutschen Trennbankengesetzes von 2013 für systemisch relevante Institute hinausgehend wird eine Vorkrisenplanung in einem "going concern" Stadium für alle Finanzinstitute gefordert, damit eine erfolgreiche Krisenvermeidung und notfalls eine Abwicklung eines "gone concerns" innerhalb eines Wochenendes und unter Wahrung der Kerndienstleistungen für die weitere Volkswirtschaft möglich wird. Die Arbeit wurde vor dem Hintergrund der ersten "Living Wills" 2009 und 2010 mit Blickwinkel inbesondere auf die USA, Großbrittannien und Deutschland verfasst und verschiedene Stellungnahmen, etwa gegen Kapitalerhöhungen und gegen das "ring fencing" von Einlageinstituten, sind inzwischen von der Rechts- und Aufsichtsrechtsentwicklung überholt. Bestimmte Kernaussagen aber, etwa zu den Optionen einer Entflechtung von länder-, rechtseinheits- und geschäftseinheitsübergreifend aufgestellten Instituten, zu der Notwendigkeit einer Planung auf Gruppenebene, zu den Gefahren der Umwandlung von Pflichtwandelanleihen und zur notwendigen Erfassung aller Arten von Finanzinstituten in Reorganisations- und Restrukturierungsplanvorgaben bleiben unverändert relevant, damit die Umsetzung eines Krisenplans keine Ansteckungseffekte zeitigt und damit die Zuerkennung einer systemischen Relevanz kein moralisches Dilemma eines faktischen Bestandschutzes begründet.
This PH.D. thesis attempts to scientifically review the crisis planning requirements of international financial institutions with a specific focus on their self driven crisis planning and, in particular, by way of mapping out a reorganisation or restucturing. Exceeding the demands of the German ring fencing act of 2013, which applies to systemically relevant institutions only, a pre-crisis planning in a going concern stage is proposed to be requested from all types of financial institutions so that crises can be avoided and so that a resolution of a gone concern becomes manageable in the duration of a short weekend only and without jeopardising the key servicing of the wider economy. This paper has been put together in 2009 and 2010 on the impressions gained from writing up the first Living Wills and with a focus on the US, the UK and Germany, in particular. Certain positions such as against capital increases and against the ring fencing of banks have been superseded by the subsequent change of the legal and regulatory systems. Other key demands are still relevant, such as how to address the interconnection of legal entities and business units across border, the importance of crisis planning at consolidated group level, the dangers associated with the exercising of Cocos and the need to include all types of financial institutions in crisis planning requirements. Such demands serve to avoid the spreading of a crisis and to avoid the moral hazard of a qualification of systemic relevance creating a de-facto state aid style guarantee.
